Terms of Service

Last updated: October 22, 2026

1. Provider and Scope

ModularGrid is provided by Numerisch - Gesellschaft für digitale Produkte mbH, Erich-Weinert-Straße 13, 10439 Berlin, Germany (hereinafter “ModularGrid” or “we”). Further contact and registration details are available in our Imprint.

These Terms of Service apply to registered accounts, community features, the Marketplace, application programming interfaces, and paid account upgrades offered by ModularGrid. Our Privacy Policy additionally applies to the processing of personal data. The Privacy Policy is not part of these Terms of Service and does not constitute a declaration of consent.

2. Registration and Formation of the Agreement

Publicly accessible content can generally be viewed without an account. A personal account is required for interactive features. By submitting the registration form, the user makes an offer to enter into a free-of-charge user agreement. The agreement is formed when ModularGrid creates the account. Certain features become available only after the email address has been confirmed.

Registration is limited to natural persons who are at least 18 years old. A natural person may connect their account to a manufacturer or dealer profile as part of their professional or commercial activities. The account remains personal and may not be sold, transferred, or shared with other persons.

Each person may have only one account at a time. Creating or using additional accounts is prohibited, including accounts registered with different email addresses or usernames.

A reachable email address and a permitted username must be provided during registration. Information that is material to a feature must be accurate and kept up to date. Login credentials must be kept confidential. ModularGrid must be notified without undue delay if unauthorized account use is suspected.

3. Features and Availability

ModularGrid provides, in particular, tools for planning racks, pedalboards, and patches; a collaboratively maintained module database; profiles; collections; ratings; a forum; private messages; Marketplace listings; and other related features. Individual features may depend on account status, confirmation, technical safeguards, usage limits, or a paid account upgrade.

We endeavor to provide reliable availability but do not owe any particular minimum availability unless expressly promised for a specific service. Maintenance, security measures, technical disruptions, and events beyond our control may result in temporary restrictions. We may develop, modify, or replace features provided that this does not unreasonably impair the purpose of the agreement. Material features that have already been paid for will not be withdrawn during the agreed term without an objective reason.

4. Content and Rights of Use

Users retain the rights they hold in their content. By submitting content, the user grants ModularGrid a non-exclusive, royalty-free, worldwide right to store, technically reproduce, format, resize, make publicly available, and transmit the content within the platform for the purpose of operating and displaying ModularGrid. This right is limited to the duration and extent required for those purposes.

Contributions to the collaboratively maintained module database, version histories, and comparable factual data may be edited by other authorized users. Such contributions may remain part of the shared database after an account has ended. Public forum posts may remain without a link to an active profile where necessary to keep discussions understandable. Personal content will be reviewed upon a reasoned request and deleted or anonymized where appropriate. Further details are provided in the Privacy Policy.

The user represents that they hold the necessary rights and that their content does not infringe any third-party rights, including copyright, trademark, personality, and data protection rights. The license granted above ends when the content is deleted, unless the content is lawfully retained, temporarily remains in backups, or has become part of a collaborative data structure.

5. Rules of Conduct

The following are prohibited in particular:

  • unlawful content or conduct and incitement to commit criminal offenses;
  • insults, threats, targeted harassment, hate speech, or defamatory statements;
  • content that infringes third-party rights or confidential information;
  • spam, unauthorized advertising, fraudulent listings, or misleading identities;
  • manipulation of ratings, listings, traffic figures, or community votes;
  • automated data extraction, systematic collection, or mass access except as permitted in Section 6;
  • circumvention of access restrictions, safeguards, or usage limits;
  • malware, attacks, disruptions, or disproportionate loads on our systems;
  • publication of another person’s personal data without a legal basis; and
  • creating or using multiple accounts, including to circumvent a suspension or other restriction.

Contributions must be relevant, factual, and respectful. Marketplace information and technical data must be accurate to the best of the user’s knowledge and must not be misleading.

6. Automated Access and Reuse of the Database

Except as permitted by mandatory applicable law or expressly authorized by ModularGrid in writing, you must not scrape, harvest, or otherwise automatically extract content or data from the service, or systematically collect it through repeated requests.

This includes collecting or reusing such material to create, populate, or maintain another website, application, database, catalogue, or dataset, whether for commercial or non-commercial purposes. Access to an authorized API permits only the uses expressly covered by that authorization.

Search-engine crawling solely for indexing and displaying links and customary search-result snippets is permitted within the limits specified in our robots.txt. This permission does not extend to republishing the database or using it to populate another service.

Users retain the rights they hold in their own contributions and may use those contributions elsewhere. Rights in third-party content remain with their respective holders. Any database rights held by ModularGrid remain reserved. Mandatory statutory exceptions remain unaffected.

7. Moderation, Restrictions, and Complaints

We use technical filters and rule-based checks to detect spam, automated abuse, suspicious links, and unusual activity. These measures may block or delay content or actions, apply usage limits, or refer contributions for manual review. Moderators may review reported or suspicious content and accounts.

In the event of unlawful content, violations of these Terms, or risks to users or systems, we may remove content or restrict its visibility, disable individual features, issue a warning, temporarily suspend an account, or terminate the user agreement for cause. In selecting a measure, we consider in particular the severity, frequency, impact, and degree of fault. A permanent suspension will generally be imposed only after a warning unless the violation is serious, a warning would clearly be ineffective, or immediate action is required by law or to protect third parties.

Where required by law, we will inform the affected user of the principal reasons and available remedies. This may be omitted where notice is prohibited by law or would compromise an investigation or the security of our systems. Users may challenge a moderation decision by emailing kontakt@numerisch.com with the subject “Moderation complaint.” The complaint should identify the account, affected content, and disputed decision. It will be reviewed by a person who is not bound by an automated assessment.

8. Marketplace

The Marketplace allows users to publish their own listings and contact one another. ModularGrid does not become a party to any purchase, sale, exchange, or other transaction between users. We do not receive Marketplace payments, hold goods in custody, or guarantee the identity, solvency, ownership, condition, authenticity, or delivery of listed items.

The parties are responsible for their own checks, secure payment and shipping methods, taxes, customs duties, and compliance with applicable consumer, trade, and export laws. Anyone acting commercially must disclose their status as a business and fulfill the applicable statutory information obligations. Suspicious listings or attempted fraud should be reported to ModularGrid.

9. Paid Account Upgrades

ModularGrid offers the “Unicorn Account” to registered users and the “Manufacturer Supporter Account” to manufacturers acting in a commercial capacity. The scope of services and total price shown on the relevant order page immediately before the order is submitted are decisive. The amount shown in euros is the total price payable. Payment is processed through PayPal.

Each upgrade has a term of one year from activation. If renewed early, another year is added to the existing term. The upgrade is not a subscription; it does not renew automatically, and no recurring payment will be charged. The upgrade is activated after payment has been confirmed.

At the end of the term, the account is automatically downgraded to the free feature set then in effect. Existing large racks generally remain stored but may be extended or newly created only within the free limits then in effect. Other paid-only features will no longer be available after the term ends.

The statutory provisions governing digital products and statutory remedies for defects apply to consumers. The Manufacturer Supporter Account is offered exclusively to businesses within the meaning of Section 14 of the German Civil Code (BGB) for their commercial or independent professional activities.

10. Consumer Right of Withdrawal

Instructions on Withdrawal

Right of withdrawal

Consumers have the right to withdraw from this agreement within 14 days without giving any reason. The withdrawal period is 14 days from the date on which the agreement is concluded.

To exercise the right of withdrawal, the consumer must inform us (Numerisch - Gesellschaft für digitale Produkte mbH, Erich-Weinert-Straße 13, 10439 Berlin, Germany, email: kontakt@numerisch.com) of their decision to withdraw from this agreement by an unequivocal statement. The model withdrawal form below may be used for this purpose, but its use is not mandatory.

To meet the withdrawal deadline, it is sufficient for the communication concerning the exercise of the right of withdrawal to be sent before the withdrawal period expires.

Effects of withdrawal

If a consumer withdraws from this agreement, we will reimburse all payments received from the consumer without undue delay and no later than 14 days after the day on which we receive notice of the withdrawal. We will make the reimbursement using the same means of payment used for the original transaction unless expressly agreed otherwise. The consumer will not incur any fees as a result of the reimbursement.

If the consumer requested that the service begin during the withdrawal period, the consumer must pay a reasonable amount corresponding to the proportion of services already provided up to the time of withdrawal in comparison with the full scope of the services provided for under the agreement.

11. Term, Termination, and Account Deletion

The free user agreement continues for an indefinite term. Users may terminate it at any time using the account deletion function provided or by giving notice in text form. ModularGrid may terminate the free agreement with four weeks’ notice. If a paid upgrade is active, ordinary termination by ModularGrid will take effect no earlier than the end of the paid period.

Each party’s right to terminate for cause remains unaffected. Before terminating for cause due to a remediable breach, a reasonable opportunity to remedy the breach will generally be provided unless immediate termination is required due to the severity of the breach or to protect third parties.

When an account is deleted, account-related content will be deleted or disassociated from the account in accordance with the Privacy Policy. Collaborative data, public discussion posts, other users’ content, and records subject to statutory retention obligations may remain to the extent described there. Termination does not entitle the user to a pro rata refund of a paid term unless a statutory right of withdrawal, price reduction, or termination applies.

12. Liability

The sole contracting party and provider is Numerisch - Gesellschaft für digitale Produkte mbH. Its shareholders do not personally become parties to an agreement through the use of ModularGrid. Pursuant to Section 13(2) of the German Limited Liability Companies Act (GmbHG), only the company’s assets are generally liable for the company’s obligations. Any personal liability that applies independently of a person’s mere status as a shareholder under mandatory law remains unaffected.

ModularGrid is liable in accordance with statutory law in cases of intent or gross negligence, culpable injury to life, limb, or health, under the German Product Liability Act, within the scope of any guarantee expressly assumed, and in all other cases of mandatory statutory liability.

In the event of a slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical of the agreement at the time it was concluded. Material contractual obligations are obligations whose performance is essential for the proper execution of the agreement and on whose performance the contracting party may regularly rely. Liability for slight negligence is otherwise excluded.

To the extent permitted by law, the foregoing exclusions and limitations of liability also apply for the benefit of ModularGrid’s shareholders, legal representatives, employees, and vicarious agents where claims are asserted directly against such persons.

ModularGrid is liable for agreements and other transactions between Marketplace users and for user content only to the extent that damage was caused by ModularGrid’s own culpable breach of duty. Statutory duties to review, respond, or remove content remain unaffected.

13. Changes to These Terms

We may amend these Terms where necessary due to changes in law or case law, new security requirements, technical developments, or new or modified features. Amendments must be reasonable, taking the users’ interests into account, and must not unreasonably alter the contractual balance to their detriment.

We will generally notify registered users of material changes by email or by a prominent notice within the service at least 30 days before they take effect. A shorter period is permitted where required by law or by a security measure that cannot be delayed. Silence does not constitute acceptance of an amendment requiring express consent. If continued performance is impossible for legal or technical reasons without the amendment, either party may terminate the affected agreement; any remaining paid period will be refunded on a pro rata basis in that case.

14. Governing Law and Final Provisions

The laws of the Federal Republic of Germany apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the country in which they have their habitual residence.

Berlin is the exclusive place of jurisdiction for merchants, legal entities under public law, and special funds under public law. In all other cases, the statutory places of jurisdiction apply.

If any provision of these Terms is or becomes wholly or partially invalid, the remaining provisions will remain effective. The invalid provision will be replaced by the applicable statutory provisions.
